Key Experience, Knowledge & Skills

- Possess relevant tertiary degree or an Associate member of the Institute of Chartered Secretaries and Administrators (ICSA).
- Minimum 10 years relevant corporate secretarial experience especially in public-listed companies.
- Well versed in listing and regulatory requirements.
- Sound knowledge of corporate secretarial, corporate governance principles, company laws and regulations.
- Analytical, meticulous and able to multi-task in a fast-paced working environment.
- Good interpersonal and communication skills, accuracy, attention to details, flexibility and the ability to prioritize and work well under pressure.

Key Responsibilities

- Provide effective corporate secretarial support for Sapura Energy Berhad, and other companies in the Group.
- Advice on corporate secretarial matters and provide corporate secretarial services to Sapura Energy Berhad, and other companies in the Group, whenever necessary.
- Prepare, coordinate and arrange Board of Directors’, Board Committee, Management and Shareholders’ meetings of Sapura Energy Berhad, and other companies in the Group whenever necessary.
- Responsible for preparation of relevant documents including reports, annual returns, statutory forms, resolutions, dissemination of notices, agenda, minutes of meetings and follow up on matters arising.
- Ensure that all the secretarial records are properly maintained and complies with all requirements under the Companies Act 2016, Securities Commission regulations (where applicable) and Main Marketing Listing Requirements.
- Check, verify and ensure accuracy of corporate information for Sapura Energy Berhad, and other companies in the Group in the audited Financial Statements.
- Liaise with Companies Commission of Malaysia, Bursa Malaysia, Securities Commission and all other relevant authorities
- Ensure timely and accurate lodgment or submission of statutory documents to relevant authorities in compliance to the Companies Act 2016 and other related laws.
- Prepare Annual Report and ensure timely distribution to shareholders and relevant authorities.
- Provide support in the implementation of corporate actions, such as acquisitions, disposals, formations and liquidations of companies, restructuring of Sapura Energy Berhad, and other companies in the Group whenever necessary.
- Monitoring the effectiveness and appropriateness of the corporate governance framework of Sapura Energy Berhad and other companies in the Group.
- Supervise, support and provide guidance to subordinates
- Liaise with service providers, auditors, regulatory authorities and other relevant stakeholders in connection with corporate secretarial matters.
- Other support tasks as may be required.
