JOB PURPOSE
The Associate II is responsible for supporting the Legal Department, primarily in matters related to commercial matters. Key responsibilities include conducting legal research, reviewing and monitoring existing processes, contract drafts, internal policies, and applicable regulations, and providing practical recommendations to enhance the company’s legal processes and documentation standards. From time to time, the Associate II may also assist the Compliance team by reviewing contract provisions to ensure alignment with relevant compliance requirements. The role requires a strong foundation of legal knowledge and a recognised skill set, applied with sound judgment and independence in managing assigned tasks efficiently.
KEY ACCOUNTABILITIES

Draft, review, and negotiate a broad range of contracts in accordance with global standards and internal governance requirements, ensuring terms are clear, legally sound, and commercially prudent.

Support the end-to-end contract lifecycle — including execution, amendment, renewal, and termination — in alignment with internal policies and business objectives.

Review tender documents and prepare legal deliverables such as contract deviations, risk assessments, and contractual analysis. Participate in tender clarifications and negotiations as required.

Collaborate with internal stakeholders to understand commercial objectives, assess risks, and provide legal input on contracting strategies, ensuring alignment with applicable policies and risk appetite.

Participate in the development and maintenance of standard contract templates, clause libraries, and other legal documentation to support cost and revenue contracts.

Provide guidance and legal advice on contract governance, process requirements, and compliance obligations throughout the contracting process.

Support or conduct peer reviews of tender documents and draft contracts to ensure consistency, risk mitigation, and alignment with best practices.

Assist in managing pre-litigation and litigation matters, including responding to claims, disputes, and regulatory matters. Coordinate with external counsel as needed and monitor progress through resolution.

Conduct legal research and provide written legal opinions or memos on a range of contractual, regulatory, or operational issues affecting the business.

Support the Compliance function from time to time by reviewing commercial contracts to ensure required compliance provisions are incorporated.

Demonstrate professionalism and collaboration when working with cross-border teams and stakeholders in different time zones. Flexibility in work hours may be required occasionally to accommodate international calls or urgent matters.
